Section Description
This course will be taught by Karessa Cain and Jenna Levine.
The Workshop is an introduction to the law and practice of mergers and acquisitions taught by two partners at Wachtell, Lipton, Rosen & Katz. It will cover issues that arise in the course of advising boards of directors and management teams of public companies exploring mergers and acquisitions transactions, both negotiated and unsolicited, across a variety of transaction structures. In addition to a focus on legal standards and questions implicated in transactions, the Workshop will provide a practical overview of key aspects of the deal-making process and will give students practical exposure to the types of drafting work, negotiation and problem-solving challenges that arise in real M&A deals - including through team-based exercises in drafting and negotiating agreements. Guest speakers with relevant experience may assist with certain sessions.
Students are expected to participate actively during class and complete written assignments as well as drafting and negotiation exercises, including group exercises. There will be no final exam.
Attendance at the first meeting of the course is mandatory. Corporations is a prerequisite.
