Section Description
This Workshop is a practical introduction to the financing of an acquisition. It gives students firsthand experience of how such a deal unfolds in real life from the initial discussion with the client through closing. Classes track a typical timeline for this type of financing and address the following issues:
* Structuring considerations;
* Key business points;
* Term sheet discussions;
* Credit agreement fundamentals;
* Lender on lender violence;
* Intercreditor arrangements; and
* Key acquisitions terms.
Students will gain experience from mock negotiations and drafting exercises. The course aims to give students a meaningful advantage when they embark on their legal careers.
The lecturer has over three decades of large law firm practice experience and has been admitted to the New York, English, and Singapore bars. The Workshop will also include a guest speaker with extensive legal and investment expertise.
The final grade will be based on the following:
* Class attendance and participation including in-class discussions, drafting exercises, and mock negotiations (50%);
* Written assignments and a quiz (50%).
This Workshop aims to be interactive and experiential. Consistent attendance and active voluntary participation are key to doing well. The Workshop is a two-credit course.
