Section Description
The Workshop will consider a variety of transactions, with particular emphasis on financial arrangements; accordingly, a general familiarity with finance through corporate/securities law courses or otherwise should prove helpful.
Grades will be determined principally by evaluation of weekly assignments.
The Workshop explores the lawyer's role in structuring and implementing business deals to create value, manage risks and promote client interests in a complex business, legal and regulatory environment. Using negotiation and drafting exercises and selected readings, the Workshop will seek to improve each participant's ability to identify and resolve recurring problems in deal structuring and negotiations and develop legal and non-legal skills necessary to become an effective transactional lawyer.
Representative assignments: compare investment proposals for a startup; consider alternatives in a financially distressed situation; write emails and short memoranda for clients; draft and revise a sale of goods contract; and analyze a loan agreement. Students will generally be required to turn in short written assignments for each week's class.
