This Deals Workshop focuses on asset management and specifically the process, mechanics and considerations in counseling a private fund through its formation, fundraise and ongoing administration. It will provide a look at the legal and regulatory background as well as the experiential components of practicing asset management law at a high corporate level. The course will include practical lessons in drafting and analyzing legal documents, applying laws and regulations to real-world scenarios, evaluating both economic and non-economic considerations on behalf of a client and negotiating in a non-adversarial context. Each class will have required readings that are made up in part of academic articles, informational packets and relevant legal and regulatory excerpts, and in part of sample fund documents to be discussed and explored in class. There will be several practical assignments that the students will need to complete throughout the length of the course, such as a structuring exercise, marking up and opining on excerpts from various fund documents, and a mock negotiation. Students will be evaluated over the course of the semester, and final grades will be given using the following criteria: Performance on practical assignments – 35%; in-class participation – 35%; preparation for class and completion of readings – 25%; attendance – 5%.
