Section Description

This course dissects the major commercial real estate documents--loan documents, contracts, and commercial leases--by focusing on the drafting and negotiation of each. The course examines the interplay between substantive legal issues and practical strategy questions in determining the contents of these documents. Some of the issues covered include the economics of the transaction, the rights and responsibilities of the parties and the consequences of default. A significant portion of the course will focus on the role of collaborations and negotiations in the process of determining the terms of the documents and will include simulated collaborations and negotiations.

The textbook is supplied by the Professor at no cost to the students.
