This experiential course examines the intersection of international trademark licensing and intellectual property transactions in the context of global brand expansion and monetization of commercial goods. The course integrates foundational principles of international trademark protection within the WTO/TRIPS framework, WIPO/the Madrid Protocol and country-specific trademark registrations alongside real-world transactional applications across industries such as fashion, sports, art, celebrity, entertainment, collegiate, music, non-profits and publishing. Students will analyze and work with a variety of agreements commonly encountered in international licensing practices, including term sheets, trademark license agreements, amendments, termination agreements, and review selected issues arising from global brand enforcement, development and expansion. The course includes three experiential workshops designed to simulate core aspects of transactional practice from both a licensor and licensee perspective and the exercises are intended to develop the students’ ability to analyze, draft, and revise agreements, identify legal and commercial risks, negotiate terms of an agreement and develop practical, business-oriented legal advice in an international context.
