Section Description
This class provides students with a comprehensive understanding of the intricacies and challenges of negotiating and drafting complex commercial contracts. Through a combination of theoretical discussions, practical assignments, and guest lectures, students will explore various topics such as basic contracting concepts, payment terms, representations and warranties, remedies, intellectual property and "boilerplate" terms. The course aims to equip students with the necessary skills and knowledge to navigate the complexities of commercial contracts and excel in their future legal careers.
Throughout the course, students will engage in readings and assignments that delve into different aspects of commercial contracts, including the analysis of legal texts, the application of contract principles and the examination of real-world scenarios. Guest lecturers, who are experts in their respective fields, will provide valuable insights and perspectives on employment agreements, IP and licensing agreements, sales and distribution agreements and purchase and manufacturing agreements. Additionally, students will participate in mock negotiation sessions to enhance their negotiation skills and gain hands-on experience in contract drafting and negotiation. By the end of the course, students will have developed a comprehensive understanding of the role of lawyers in complex commercial contracts, effective communication strategies and the importance of meticulous documentation and close-out procedures.
