Section Description

***This course is for ELLM students only*** Business Organizations provides an overview of the foundational laws governing business organizations, their formation, maintenance, management, and dissolution. This course is a survey of American business laws for executive L.L.M. students. The majority of the course will be focused on the law of corporations, as they are the quintessential business entity. Beyond core doctrinal principles, the course will expose students to practical and analytical challenges of transactional practice. Selected topics may be drawn from the laws of agency, partnership, corporation, as well as the role of legal structure and legal controls on various types of business associations, with particular attention to the allocation of power and financial interests in the partnership, corporation, limited partnership, and LLC. The class is taught from the perspective of assisting non-U.S. trained lawyers to draw comparative and practical lessons and otherwise to enrich these students upon their return home.
