Section Description

This course is being taught by Ralph Arditi, both of whom were long-standing partners of Skadden Arps Slate Meagher & Flom LLP in the firm’s M & A department. Their practices involved both private and public company deals and spanned multiple industries in every type of M & A transaction, including mergers, asset purchases, stock purchases, joint ventures and minority investments. This seminar is designed to provide the skills and experiences every lawyer needs to know in order to draft and negotiate M & A deals from both the buyer’s and seller’s perspective. The heart of the course will be, with coaching from the Instructors, realistic in-class negotiations of M & A transactions, such as sales of businesses, and longer-term business relationships, such as joint ventures and minority investments.

Learning Outcomes

  • To enable students to identify the differences public and private company M&A transactions.
  • To equip students with the ability to successfully negotiate M&A, JV and minority investment transactions, whether representing a buyer (or investor) or a seller.
  • To learn how to draft M&A, JV and minority investment transaction agreements and understand how the component elements of each such agreement relate to other elements within the same agreement and why such interrelationships are important to understand in the negotiation process.
