Section Description
The course will discuss selected advanced corporate law issues, explore the economic theory and policy considerations underlying them, and consider their practical implications under Delaware law. Topics will include the purpose of the firm, ownership structures and super-voting shares, the rise of passive investors, activist hedge funds and anti-activist poison pills, stakeholder governance, and directors’ oversight duties.
