S. Managing Litigation Risk: Behind the Scenes in Securities Litigation and Derivative Suits

This course is designed for students interested in litigation, corporate law, or in-house practice, as well as anyone seeking a practical understanding of how legal risk is assessed and managed in complex, real-world settings. In a highly interactive format, students will debate the strategic and tactical decisions that companies and their counsel should make when confronting the different stages of high-stakes securities class actions and suits alleging breach of the fiduciary duties of officers and directors. Drawing on recent judicial decisions and currently pending cases, we will also devote substantial attention to diagnosing the missteps that have led to real-world adverse outcomes and to identifying best practices to mitigate or avoid those risks. No prior background in securities litigation or derivative suits is required.
