Section Description
This course will cover a series of issues of current interest in modern commercial transactions, and so will change a bit from year to year. The present plan is to discuss topics related to wire transfers (under UCC Article 4A), problems for guaranties and letters of credit (in the context of secured transactions and bankruptcy filings), the indirect holding system for securities (UCC Article 8), common structures for ground leases and financing involving ground leases, and priority among secured creditors (both intercreditor agreements and structural subordination).
