Section Description
This interactive course, taught by an M&A partner with more than 20 years of experience in cross-border M&A transactions, focuses on the practical aspects of private M&A transactions, taking students through the entire process of a deal, from drafting transaction documents to negotiating and closing deals. This course will examine hotly debated current issues and provide an overview of the key concepts, drivers, and frameworks of corporate transactions governed under New York law. Among other topics, the professor, through in-class interviews with specialists that deal with M&A issues regularly, will address the impact of today’s geopolitical risk and policy uncertainty on deal structures and deal terms. This course draws on real-world case studies and includes workshops on drafting provisions, analyzing contract breaches and negotiating cross-border transactions.
Learning Outcomes: By the end of this course, students:
- Will understand the main strategic considerations involved in M&A, and their impact on deal terms
- Will be able to navigate the M&A deal process effectively by anticipating its different phases and complexity
- Will be more nuanced negotiators, since the class focuses on arguing strategic decisions from alternatively the buyer and the seller sides
