Section Description

This is an introduction to the American common law of contracts, including exposure to Article 2 of the Uniform Commercial Code governing sales of goods. This course uses American contract law as a vehicle for teaching foreign lawyers how American judges and lawyers think and reason about law. Contract law serves this purpose because it is a common law subject, and all of American law, including non-common law areas such as constitutional and statutory law, reflects the common law tradition of argumentation and reasoning by analogy. Common law reasoning is fact-intensive. Emphasis in this course is therefore on careful, in-depth coverage of a limited amount of material, rather than a broad but shallow overview of the entire range of contract law. Students will learn the core doctrines governing contract formation, enforcement, and remedy, with a special emphasis on the doctrines governing interpretation. Doctrines least familiar to lawyers from civil law jurisdictions, such as consideration and promissory estoppel, will also receive particular attention. Attention will be paid throughout to the contrasting forms of argumentation reflecting the historical divide between law and equity in the English common law tradition. Live sessions will require active participation through pure Socratic Method in which students will be called on to engage in a dialogue with the professor analyzing the reasoning in the assigned material. On-line material will include pre-recorded lectures providing background material recommended as preparation for particular assignments, or supplementary material designed to provide a broad overview of contract law, including doctrines not otherwise covered in the syllabus or live sessions.
