Case Example: An Organization's Dilemma
In a recent case, clinic students helped Volunteer Lawyers for the Arts to represent a nonprofit arts organization in a dispute with a former member of its board of directors. The former board member had objected to the artistic direction the organization was taking. After refusing to attend board meetings and attempting to prevent other officers from having access to the organization’s bank accounts and minutes, she was removed from the board and from her position as secretary/treasurer. However, she remained a signatory for the organization’s accounts and continued to block the other officers from using them. The organization urgently needed access to these accounts before an upcoming concert. Students determined that the board would need to provide the bank with a resolution showing that the former board member was no longer authorized to access the accounts and that a new secretary/treasurer had been elected. They helped draft this resolution and other necessary paperwork and succeeded in transferring the right to access the accounts to the current officers.
