B.S., Columbia, 1947; LL.B., 1953. Editor-in-chief, Columbia Law Review. Law clerk to Judge Stanley H. Fuld of the New York Court of Appeals. Practiced in New York for twenty-four years, specializing in corporate and securities transactions. A founder of Kramer, Levin, Naftalis & Frankel. Lecturer in law at Columbia in 1976. Served as president of Supermarkets General Corporation in 1978 and 1979. Joined the Columbia faculty in 1980. Director, Institutional Investment Project, 1988–96. Chairman, Coalition for the Homeless; member of Panel on Audit Effectiveness created at the request of the SEC (1998–2000). Publications include Knights, Raiders, and Targets: The Impact of the Hostile Takeover (coed. and contributor, 1988); What’s Wrong with Wall Street: Short Term Gain and the Absentee Shareholder (1988); and Sense and Nonsense in Corporate Finance (1991). Areas of interest include corporations, corporate finance, and accounting.
