Ilan
Nissan is a partner in the Private Equity Group at Goodwin Procter,
LLP. Mr. Nissan has extensive
experience representing private equity and hedge funds and alternative
asset managers and their portfolio companies in a wide array of
transactions, adversarial matters and other strategic matters.
Mr. Nissan's practice and experience encompasses the
following areas:
Counseling. Senior
counseling of private equity and hedge funds, boards of directors, CEOs and
executive management concerning strategic business/legal issues (including
advice on acquisitions and liquidity strategies), execution of business plans,
regulatory and other strategic matters. Mr. Nissan’s experience covers a broad
spectrum of businesses based all over the world, including those in the
manufacturing, oil and gas, chemicals, entertainment, Internet, technology,
software, consulting, healthcare, retail, apparel and various product
distribution businesses. Mr. Nissan also has substantial international
experience on cross-border acquisitions, investments and joint ventures.
Mergers and Acquisitions/Private
Equity. Mergers and acquisitions, leveraged buyouts, recapitalizations,
sales and divestitures, growth equity investments, strategic investments and
“PIPES.”
Fund Formation.
Formation and restructuring of private equity and hedge funds, co-investment
vehicles and pledge funds. Counseling on internal carry, compensation and
governance arrangements among fund sponsors and investment professionals.
Executive
Compensation. Representation of sponsors and management groups in all
aspects of compensation arrangements, including executive employment and
consulting agreements, stock option plans, restricted stock plans, bonus plans
and other management incentive arrangements.
Mr. Nissan is an adjunct professor at Columbia University
Law School, where he teaches an upper-level course focusing on mergers and
acquisitions, private equity and legal transactional strategies.
MEDIA
Mr. Nissan is regularly quoted in The Wall Street Journal and other financial and popular press and
has appeared as a commentator on Bloomberg Cable Television, Bloomberg Radio
and other media. He is also a frequent lecturer and panelist at private equity and
hedge fund conferences.
