L6934 Private Equity Transactions

This course will offer students with private equity industry work experience or demonstrated interest the opportunity to study each phase of later stage buy out firm activity. Using specific transactions, the students will learn about the legal and business collaboration needed to conduct private equity transactions. A majority of the course readings will be transaction legal documents, for example, SEC filings, merger agreements, bank loan documents, bond indentures as well as some referral materials. We anticipate each week's required reading assignment to range about 80 -100 pages.

What students should anticipate learning: Law students: this course is intended to familiarize students interested in a corporate transactional practice with the legal and business issues implicated in designing, financing and implementing private equity transactions with emphasis on the transactional documentation utilized in buying, selling, financing, managing and restructuring businesses.
