L6544 European Corporate Law and Securities Regulation

This course deals with current topics of European Union corporate law and securities regulation. A key problem is what kind of rules should prevail in these fields and on what level (union or member state). After an introduction into European market integration, law-making and subsidiarity, the corporate law part of the course focuses in particular on corporate governance. Emphasis is on the Company Law Action Plan of the European Commission of May 2003, its implementation until 2009 and problems such as board systems, labor co-determination, conflicts of interest, liability of directors, the role of universal banks, and auditors' liability.

Examples of topics examined in relation to securities regulation include insider trading, takeovers, groups of companies, stock exchange and securities law harmonization, supervision, and enforcement. While economic knowledge is useful, the perspective used throughout the course is legal and functionally comparative.
